Constitution of Coedpoeth and Minera Camera Club

  1. The Club will be known as the Coedpoeth and Minera Camera Club.

  2. Governance of the Club will be within the constitution and associated Member’s rules and Competition rules.

  3. The objectives of the Club are to provide an environment in which the members can improve their photographic abilities, by mutual support and encouragement, and by the provision of lectures, exhibitions, critiques, competitions and practical sessions.

  4. The Club will be run by a Committee, consisting of the Chair, Secretary, and Treasurer; the Officers, and an additional three positions, namely Competition Secretary, Webmaster and Programme manager. An additional member can be appointed, by the Committee. The voting quorum for Committee business is three, of which two are Officers. In the event of a split vote, the Chair will have the deciding vote. A minimum of four Committee Meetings will be held each year, the minutes of which will be available to all Members.

  5.  An Annual General Meeting (AGM) is held each year. Twenty one days’ notice will be given, along with a copy of the Minutes from the previous year’s AGM, and a nomination form for the Committee, which is appointed annually. Nomination forms must be returned to the Secretary at least 7 days before the AGM, signed by the proposer and seconder, who must have obtained the consent of the nominee to stand. An agenda will be forwarded to all Members seven days prior to the meeting. The quorum for the AGM is 20% of the membership.

  6. The Committee can call an Extraordinary General Meeting (EGM) at any time, or one can be called following a request by the Members, backed by at least 25% of them. Twenty one days notice will be given, along with details of the business to be discussed.

  7.  Members can join the Club at any point in the season, details given in the Member Rules. There is an annual fee, collected at the start of the season, and a meeting fee, payable on the day of the meeting. Should a member act in contravention of the Constitution or Member Rules they will, at the discretion of the Officers, be given a private warning, or for serious breaches or subsequent offences after the warning, will have their membership cancelled.

  8. Vice Presidents can be elected by the Committee as a reward for outstanding service to the Club. They will be entitled to hold the position for life, and will enjoy free membership, but they will not have any active role within the Committee or in the governance of the Club.

  9. In the event of the Club ceasing to function, an EGM will be called to decide on the disposal of all club funds and assets, with any remaining funds to be passed to the Coedpoeth Community Council.

  10. Any amendments to this Constitution can only be agreed at the Annual General Meeting or a specially called Extraordinary General Meeting, for which twenty one days’ notice will be given.
